1. Agreement

This End-User License Agreement ("Agreement") is between you and GeeksAxis ("GeeksAxis", "we", "us") and governs your use of the ZenDial software application ("ZenDial", "the App"). By installing or using ZenDial, you accept this Agreement. This Agreement supplements our Terms & Conditions and Privacy Policy.

2. License Grant

Subject to your compliance with this Agreement, GeeksAxis grants you a personal, non-exclusive, non-transferable, revocable, limited license to install and use ZenDial on Android devices you own or control, for your own personal, non-commercial phone and call-management use.

3. Restrictions

You may not, and may not permit anyone else to:

• Copy, modify, reverse engineer, decompile, or disassemble ZenDial, except to the extent such restriction is prohibited by applicable law;
• Rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer ZenDial or any rights to it;
• Remove, obscure, or alter any proprietary notices on ZenDial;
• Use ZenDial to build a competing product or service.

4. Ownership

ZenDial is licensed, not sold. GeeksAxis and its licensors retain all right, title, and interest in and to ZenDial, including all intellectual property rights. This Agreement does not grant you any rights to GeeksAxis's trademarks or trade names.

5. Third-Party Components

ZenDial is built with the Flutter/Dart SDK and incorporates third-party and open-source software components, including but not limited to the RevenueCat SDK, Google Mobile Ads (AdMob) SDK, and various Flutter plugin packages, each of which remains subject to its own respective license terms.

6. Updates

ZenDial may be updated periodically via Google Play. Updates may add, change, or remove features and may be required for continued use of the App.

7. Term & Termination

This Agreement is effective until terminated. It terminates automatically, without notice, if you fail to comply with any term. Upon termination, you must stop using ZenDial and uninstall it from your devices. Sections 4 (Ownership), 8 (Disclaimer of Warranty), 9 (Limitation of Liability), and 11 (Governing Law) survive termination.

8. Disclaimer of Warranty

ZenDial IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEEKSAXIS DOES NOT WARRANT THAT ZENDIAL WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS CALL-SCREENING FEATURES WILL CATCH OR BLOCK ANY PARTICULAR CALL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEEKSAXIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF ZENDIAL, INCLUDING MISSED CALLS, LOST DATA, OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GEEKSAXIS'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR ZENDIAL, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations in connection with your use of ZenDial.

11. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

12. Entire Agreement

This Agreement, together with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and GeeksAxis regarding ZenDial and supersedes any prior agreements on this subject.
